Paramount Software provides custom AI and cloud automation solutions, including but not limited to:

Specific deliverables, timelines, and pricing will be outlined in separate service agreements or statements of work.

Client Work Product

Unless otherwise specified in a separate agreement, upon full payment for services rendered, clients receive ownership of custom work product created specifically for them. We retain ownership of pre-existing tools, frameworks, and methodologies used in delivering our services.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes, but is not limited to, business strategies, technical specifications, and customer data. Confidentiality obligations survive the termination of these Terms.

6. Payment Terms

Payment terms for our Services will be specified in individual service agreements. Unless otherwise agreed:

  • Invoices are due within 14 days of receipt
  • Late payments may incur interest at the rate of 1.5% per month
  • All fees are non-refundable unless otherwise stated
  • Prices are exclusive of applicable taxes

7. Limitation of Liability

To the maximum extent permitted by law, Paramount Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our Services.

Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or completely secure.

9. Artificial Intelligence and Automated Systems

Use of AI Technologies

Our Services may incorporate artificial intelligence, machine learning, and other automated technologies ("AI Technologies"). You acknowledge and agree that:

  • AI Technologies may generate outputs, recommendations, or content that contain errors, inaccuracies, or omissions. Such outputs are provided for informational purposes and should not be relied upon as the sole basis for any decision-making.
  • You are solely responsible for reviewing, verifying, and validating any AI-generated outputs before acting upon them or incorporating them into your business processes.
  • AI Technologies are tools to assist human decision-making and do not replace professional judgement, legal advice, financial advice, or any other form of expert counsel.
  • We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated output for any particular purpose.

Limitation of Liability for AI Outputs

To the maximum extent permitted by law, Paramount Software shall not be liable for any loss, damage, cost, or expense (whether direct, indirect, incidental, special, or consequential) arising from or related to:

  • Any reliance on AI-generated outputs, recommendations, content, or automated decisions produced by our Services
  • Errors, inaccuracies, or omissions in AI-generated outputs
  • Decisions made or actions taken based on AI-generated outputs
  • Any failure of AI Technologies to perform as expected or to produce desired results
  • The use of AI-generated content in contexts where professional human review was required but not obtained

Portions of the content on this website, including text, images, and other materials, may have been created or assisted by artificial intelligence tools. While we endeavour to review and verify all published content, we do not guarantee that AI-assisted content is free from errors. 10. Indemnification

You agree to indemnify, defend, and hold harmless Paramount Software and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the relationship at any time with written notice. Upon termination:

  • All outstanding payments become immediately due
  • Each party shall return or destroy confidential information
  • Provisions that by their nature should survive will remain in effect

We reserve the right to suspend or terminate access to our Services immediately if you breach these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Western Australia, Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Western Australia.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

14. Severability

These Terms, together with any separate service agreements, constitute the entire agreement between you and Paramount Software regarding the use of our Services and supersede all prior agreements and understandings.
